Beyond the headlines of the recently announced Home Depot/Hughes Supply deal, what’s really happening with mergers and acquisitions in wholesale distribution sectors? Some major shifts are in play. Private equity groups have snatched up more than $20 billion in revenues from deals reported between December 2004 and December 2005. That's more than the total reported revenues acquired by private equity groups during the previous four years.

Learn the inside story on how you can position your company to best advantage as two unbiased M&A experts share their insights into this fast-changing landscape. This two-hour CD of a fast-paced audio conference held April 20 will help you strengthen your company's position in 2006, whether you want to compete better or craft a better exit strategy. Includes answers to more than a dozen real-world questions submitted by attendees during the conference!

Find out what this transformation in financial and strategic investor activity means to a wholesaler-distributor and how it's changing distribution channels. You'll gain practical tips and advice from two seasoned M&A professionals with extensive hands-on experience helping wholesale distribution executives like you navigate successful deals across a range of company size, sectors and ownership structures.

Hear:

  • Brent Grover, President, Evergreen Consulting
  • Jim Miller, Managing Director and Principal, Brown Gibbons Lang & Company

Each of our panelists brings a unique and complementary understanding of wholesale distribution mergers and acquisitions. They share key details on small and large deals, emerging trends in valuation multiples, bridging gaps between offers and expectations, and critical steps to building curb appeal into a business. You'll learn the key benchmarks investors use at both corporate and branch levels to determine valuations.

You’ll gain a deeper understanding of how financial and strategic buyers are competing today and the increasingly subtle differences between the two. You’ll also find out how sellers can increase their options in such active market conditions. Even if you’re not considering an ownership transition in the near term, you still need to understand how current M&A activity could change your competitors' resources or positioning—as well as your strategic options—to counter these shifts in your market.

For one low price—just $199—you and your entire team can take part in this fast-paced, insightful MDM training session.

Participants in this audio conference learn:

  • What's really happening in M&A and what it means for distributors of all sizes
  • Specific steps to update the ownership succession or exit plans, regardless of time frame
  • The strategic, financial and operational imperatives in the current M&A climate
  • Critical factors for maximizing value creation and deal value
  • Critical benchmarks and investment rationale of financial buyers
  • Details of both successful and not so successful deals using case-study examples

Who should listen to this CD? CEOs, Presidents, CFOs and Directors of Business Development of public and privately-held wholesale distribution companies, as well as senior staff and executive teams, will all gain a concise perspective on the deal-making landscape in 2006: how it's changing and what wholesaler-distributors can do to position their companies in this new environment.

ABOUT THE SPEAKERS:

Brent Grover is a 25-year distribution industry veteran, consultant, writer, CPA and educator. His firm, Evergreen Consulting, is a specialized consulting firm, serving a select client base that includes owner-managed distributors, corporations that sell through distributors, and distribution industry trade associations. Evergreen Consulting provides comprehensive strategic planning, profitability management, and acquisition facilitation services.

Brent co-owned and managed National Paper & Packaging Co., a large, high-profit distribution business, for more than 20 years. And he successfully shepherded the sale of that company to a private equity firm in the late 1990s.

Distribution executives know Brent through his two recently acclaimed NAW/DREF books on customer profitability tools for distributors and keys to success for distributors making acquisitions. Brent also taught for five years at Case Weatherhead School of Management and worked for four years at Arthur Andersen & Co.

Jim Miller is Managing Director and Principal of Brown Gibbons Lang & Company, an investment banking firm with offices in Cleveland, Ohio and Chicago. He heads BGL’s distribution practice and has extensive experience in the wholesale distribution market, where he has worked with more than a dozen wholesaler-distributors on corporate finance assignments, including buy-side, sell-side, private placement and restructuring transactions for the past seven years.

As part of its engagements with distributors, BGL has had to negotiate through issues relating to the economic outlook, roll-ups and the benefits and detriments of consolidation within the industry, integrated supply, e-commerce, disintermediation, and potential and actual bankruptcy. Jim was a recent speaker at NAW’s Executive Summit and contributing author to NAW/DREF’s OUTLOOK 2006: An Executive's Companion to Facing the Forces of Change.
