The debtors in the case included USFLOW and its four subsidiaries, Mutual Manufacturing and Supply Company, Bertsch Company, Piping and Equipment Supply Company, and Plotkin Brothers Supply, Inc.
A lawsuit filed in federal court on Sept. 29 by Wiegand Mack Sales & Service, Inc., a Detroit, MI-area authorized Mack truck dealer, against Mack Trucks, Inc. of Allentown, PA, alleges that Mack Trucks, Inc. violated federal and state law and undermined its dealership network by making direct sales of trucks to its dealers' potential customers and by engaging in illegal price discrimination. This is the second such suit brought by a Mack dealer against Mack Trucks, Inc. Toledo, Ohio-based Toledo Mack Sales & Service, Inc. filed a similar suit against Mack Trucks, Inc., which is also currently pending in federal court in Philadelphia.
Like many states, Michigan law expressly forbids motor vehicle manufacturers from "sell[ing] any new motor vehicles directly to a retail customer other than through its franchised dealers." The suit filed alleges that Mack Trucks, Inc. improperly sold trucks directly to Wiegand Mack's potential customers, including body builders, leasing companies and so-called "national accounts," and also improperly sold trucks directly to Wiegand Mack's competitors on more favorable terms than were made available to Wiegand Mack. The suit also contends that Mack Trucks, Inc. violated Michigan law by failing to fully reimburse Wiegand Mack for warranty work it performed. Wiegand Mack is seeking damages in excess of $1 million.
Simonds Industries Inc., a provider of industrial cutting tools, will merge with International Knife and Saw, a provider of industrial knife products. The merged company, Simonds International Corporation, will have a broad product offering of cutting tools and related products in the wood, pulp, paper, metal, and other industries. Distributors may likely see some changes, as Simonds has traditionally sold through distribution, while International has sold direct into certain large customer segments.
Milacron Inc.,, Cincinnati, OH, a supplier of plastics processing equipment and supplies and industrial fluids, announced the sale of its Talbot round tool business to Harpoint Holdings Inc., a private investment group, of Newtown, PA. Talbot tool brands - Data Flute CNC, Weldon Tool, Brubaker Tool, Fastcut, New England Tap and Micro Carbide Tool - serve the automotive, aerospace and other metalworking industries with high-performance solid carbide and high-speed steel/cobalt end mills, drills, taps, reamers, countersinks and counterbores.
With about 220 employees, the Talbot business manufactures its metalcutting round tools in Pittsfield, MA and Millersburg, PA and had 2002 sales of approximately $30 million. Milacron purchased the four original Talbot brands in 1995 and added Data Flute in 1997 and Micro Carbide in 1999.
