RedPrairie, Atlanta, GA, and JDA Software [NASDAQ: JDAS], Scottsdale, AZ, have entered into a definitive merger agreement. The combined entity will offer improved supply chain management solutions and services through any channel.
RedPrairie plans to acquire all outstanding shares of JDA common stock for $45 per share, a 33 percent premium to JDA’s stock price on October 26, 2012 and a 16 percent premium to JDA’s all-time high stock price. Total transaction value will be $1.9 billion.
JDA’s supply chain planning, merchandising and pricing solutions will combine with RedPrairie’s warehousing, workforce management, store operations and e-commerce abilities. The combination will provide retailers and manufacturers with new capabilities to meet the needs of mobile consumers.
Hamish Brewer is expected to lead the combined company as its CEO. RedPrairie’s CEO, Michael Mayoras, will remain on the board.
