Taunton, MA-based wine, spirits and beer distributor Martignetti Companies has expanded its footprint nationally while pursuing another acquisition in its home market.
Martignetti completed its acquisition of Republic National Distributing Company’s control state business Oct. 1, extending its overall reach to 20 states. Separately, the company announced a definitive agreement in September to acquire Massachusetts-based Girardi Distributors, with that transaction expected to close this fall.
The RNDC transaction covers operations in all 17 U.S. control states: Alabama, Idaho, Iowa, Maine, Michigan, Mississippi, Montana, New Hampshire, North Carolina, Ohio, Oregon, Pennsylvania, Utah, Vermont, Virginia, West Virginia and Wyoming. Martignetti previously operated across the six New England states, including three control states. The company said the acquisition gives suppliers and customers a single platform across every U.S. control state market.
The court-approved transaction includes $14.5 million in cash, plus eligible inventory costs and certain liabilities, according to Shanken News Daily. RNDC filed for Chapter 11 bankruptcy protection in July.
“Closing this transaction marks the start of a new chapter for Martignetti,” company principals Carmine and Carl Martignetti said.

The Girardi agreement would strengthen Martignetti’s presence in Western and Central Massachusetts. Founded in 1933, the fourth-generation, family-owned distributor operates facilities in Athol and Pittsfield. Its portfolio includes Anheuser-Busch products alongside other beer, wine and spirits brands.
George R. “Buddy” Girardi and Judith A. Girardi have operated the business since 1982. Financial terms of the proposed acquisition were not disclosed.
“The communities we serve in Western and Central Massachusetts will be in excellent hands,” Judith Girardi said.
Martignetti said the acquisition supports its strategy to supply beer, wine, spirits and alternative beverage categories throughout New England. It follows the company’s 2024 acquisitions of Massachusetts Anheuser-Busch distributorships Quality Beverage and AB One Boston.
Founded in 1908, Martignetti describes itself as the sixth-largest U.S. wine and spirits distributor.
