Brookfield to Acquire Canadian MRO Supplier Gregg Distributors in $1.1B Deal

The investment firm’s private equity business will acquire a controlling interest in the Edmonton-based industrial MRO distributor, while Gregg employees retain a meaningful ownership stake.

Private investment firm Brookfield has agreed to acquire Gregg Distributors — an Edmonton, Alberta-based industrial MRO supplies distributor — in a transaction valuing the company at approximately C$1.6 billion, or $1.14 billion USD.

The acquisition will be completed through Brookfield’s private equity business, which manages approximately $160 billion in assets and focuses on operational transformation at companies providing essential products and services.

Gregg is currently owned by the Gary Gregg family and company employees. Brookfield did not disclose the size of the stake it is acquiring, but said employees will retain a meaningful ownership position following the transaction.

Founded in 1968, Gregg distributes industrial supplies from 26 locations across Alberta, British Columbia and Saskatchewan, serving customers in the industrial, agricultural, automotive and heavy-duty truck markets. The company offers more than 200,000 SKUs, employs over 1,100 people and has over 10 vehicles in its fleet, according to its website.

Gregg’s product categories include abrasives, bearings, electrical supplies, fasteners, fluid power products, material handling equipment, safety products, tools and welding supplies. The distributor also provides managed inventory and rapid fulfillment services.

Brookfield said Gregg has established its market position through its broad product offering, fulfillment capabilities and high-touch customer service model.

“Gregg is a high-quality business with a strong market position, resilient cash-flow profile and a differentiated customer value proposition,” Brookfield Private Equity Group Managing Partner Erson Olivan said in the announcement. “We look forward to partnering with the Gregg team to support the company’s continued growth and long-term success.”

Gary Gregg said Brookfield’s operating expertise, Canadian presence and knowledge of Gregg’s end markets made the firm an ideal partner for the company’s next phase.

“We are proud of the business we have built with our employees and the culture that has defined Gregg for more than 58 years,” he said.

Davies Ward Phillips & Vineberg is advising Brookfield on the acquisition and its related financing.

The transaction is expected to close by the end of 2026, subject to regulatory approvals and customary closing conditions.
