Republic National Distributing Company (RNDC) has issued WARN notices tied to pending layoffs that could affect nearly 2,800 employees across multiple states, as the beverage alcohol and liquor distributor moves closer to completing a multi-market divestiture to Reyes Beverage Group.

The notices, dated April 22-23, are described as conditional and align with RNDC’s previously announced agreement to sell five additional markets to Reyes. That transaction follows an earlier deal in which Reyes acquired six RNDC markets, bringing the total footprint changing hands to 11 markets.
The workforce reductions are tied to those market exits and reflect the operational transition of distribution rights, facilities and personnel as Reyes assumes control. The WARN filings span several states where RNDC is exiting operations as part of the transaction.
The divestitures mark a significant reshaping of RNDC’s geographic footprint and come amid broader strategic adjustments by the company. In recent months, RNDC also exited the California market — one of the largest beverage alcohol distribution markets in the U.S. — underscoring a period of notable contraction and realignment.
Reyes Beverage Group, a major beer and beverage distributor, continues to expand its presence through the acquisitions, further consolidating share in key regional markets. The transition is expected to occur as regulatory approvals are finalized and closing conditions are met.
RNDC has indicated that the layoffs are contingent on the completion of the transactions, meaning some employees may ultimately transition to roles under new ownership depending on final deal structures and local arrangements.
