Hillman Makes $315M Master Distribution Entry with Kanebridge Deal

The fasteners and hardware products distributor is acquiring Kanebridge to establish a U.S. industrial master distribution platform. Hillman separately reported 10% second-quarter sales growth and raised its 2026 outlook.

Fasteners and hardware products distributor Hillman Solutions has agreed to acquire Kanebridge Corp. for $315 million, establishing what Hillman described as its first industrial master distribution presence in the U.S.

Kanebridge supplies more than 44,000 commercial and military-grade fastener SKUs exclusively to distributors across the U.S. and Canada. The company operates warehouses in Illinois and California and offers same-day shipping through its proprietary FasNet digital ordering platform.

“Kanebridge gives us an immediate and credible foothold in the industrial channel, which we’ve identified as one of our biggest growth opportunities,” Hillman President and CEO Jon Michael Adinolfi said in the company’s Aug. 3 announcement.

The transaction expands Hillman’s industrial total addressable market by an estimated $1 billion to approximately $3 billion. Hillman expects the deal to be accretive to its margins and earnings, supported by sourcing and distribution cost synergies, cross-selling opportunities and tax benefits.

Kanebridge will operate within Hillman’s Commercial & Industrial business under Executive Vice President Chris Martin. The acquisition is expected to close around the start of Hillman’s fourth quarter, subject to regulatory approval and customary closing conditions.

Hillman plans to finance the purchase with cash, borrowings under its asset-based revolving credit facility and an add-on to its first-lien term loan.

Kanebridge continues an active expansion year for Hillman. The company acquired Campbell Chain & Fittings in April to expand its industrial MRO offering, followed one week later by its purchase of Delaney Hardware to strengthen its pro distribution presence.

MDM Analysis

Kanebridge gives Hillman more than additional fastener volume — it provides an established platform for selling through distributors rather than building industrial reach customer by customer. Its long-tail inventory, specification expertise and same-day fulfillment address needs that many distributors cannot economically support themselves. That should make Hillman a more valuable upstream partner while creating a channel for cross-selling its expanding industrial portfolio.

The strategic test will be preserving Kanebridge’s distributor-first identity and avoiding channel-conflict concerns as Hillman also grows its direct relationships across pro, retail and industrial markets.

Hillman Posts 10% Sales Growth in 2Q

Hillman separately reported second-quarter 2026 net sales of $442.3 million, up 9.8% year-over-year.

Net income increased 33.4% to $21.1 million, while adjusted EBITDA rose 2.5% to $77.1 million. Adjusted diluted earnings remained flat at $0.17 per share. Free cash flow more than doubled to $70.2 million from $31.2 million a year earlier.

Hillman attributed the sales growth to consistent hardware demand, new business wins that included pro distribution and low-double-digit growth in its Robotics and Digital Solutions business.

The company updated its 2026 guidance, narrowing its net sales forecast to $1.67 billion-$1.72 billion from $1.63 billion-$1.73 billion and raising its adjusted EBITDA expectation to approximately $285 million from the previous $275 million-$285 million range. The outlook assumes Kanebridge contributes beginning around the start of the fourth quarter.

Hillman entered 2Q after posting 3.0% sales growth during the opening quarter while contending with margin pressure.

In June, Hillman also began construction on a 715,000-square-foot Cincinnati-area facility designed to consolidate operations and support future growth. Hillman is targeting $2.5 billion in annual net sales by 2030.
